Terms and conditions

The agreements between you and Prima Zaak, written down as simply as possible.

Draft. This is the text we work with now; a lawyer is still reading it. If you order from us, the version in force on the day you order applies (see also article 16). You can already send us your questions at info@primazaak.nl.

This is an English translation of the Dutch terms and conditions. If the two differ, the Dutch version applies.

Last updated: 20 October 2026 (draft).

These are the agreements between you and Prima Zaak. These terms are written down as simply as possible. If they differ from texts on the website, these terms take precedence.

1. Who we are

Prima Zaak is a sole proprietorship (eenmanszaak) based in Weert, the Netherlands. We have been registered with the Dutch Chamber of Commerce (KvK) since 13 October 2026.

  • Place of business: Weert (Limburg, the Netherlands)
  • Address: Wilhelminasingel 230 A 1, 6001 GV Weert
  • KvK number: 42192099
  • VAT ID: NL005567527B08
  • Professional liability insurance: Insify (insurer Axeria IARD)
  • Email: info@primazaak.nl
  • WhatsApp (messages only, no calls): +31 6 38 27 27 68 (opens in a new tab)

2. Definitions

  • Prima Zaak, we: the sole proprietorship above.
  • You, the customer: the business that enters into an agreement with us.
  • Website: the website that we make for you and keep online.
  • Subscription: the package (Shopfront, Counter or Store; called Etalage, Toonbank and Winkel in the binding Dutch terms) that keeps your website online, see article 4.
  • Ordering: you say yes to our order confirmation and pay the first invoice, see article 3. From that day you are a customer.
  • Change: one adjustment to one part of your website, as described in article 5.
  • Takeover: buying out your website after the fixed term of your subscription, so that you can manage it yourself or have it managed elsewhere.
  • Purchase: buying a website in one go, without a subscription, see article 4.

Prima Zaak works only for businesses: businesses that are registered in a trade register (in the Netherlands, the Chamber of Commerce) and use the website for their business. All prices exclude VAT, unless stated otherwise.

3. When these terms apply

These terms apply to every quote and agreement between you and Prima Zaak. Our customers are businesses; these terms are written for business customers. Other terms, such as your own, apply only if we agree this in writing.

An agreement is made on the day you order: you say yes to our order confirmation (by email or WhatsApp message) and you pay the first invoice. From that day you are a customer. If you say yes but do not pay (yet), there is no agreement yet.

The order confirmation states your package, the price, the term and the date of these terms. You receive these terms with the order confirmation as a PDF file, so before you order. You can save and print them.

Your first invoice covers the first month (or the year or two years you pay in advance). We start on your website only after this payment. The first month starts on the day your website goes online; your first payment counts for that month.

4. What you get: the packages

We first make an example of your website. That example is free. If you do not like it, you are not committed to anything. If you take the website, you choose one of these packages:

Every package includes: hosting; your domain name, registered in your own name; security (https) and technical maintenance; and a website that search engines and AI assistants can read well and that shows the same details as your Google Business Profile. We cannot guarantee a particular position in search results.

Every package (Shopfront, Counter and Store) is online within 24 hours after you have approved the final version. The final version is the version you approve by email or WhatsApp message, after you have viewed the example and we have processed your comments. For online payments (Store) you need your own account with the payment provider; the time that provider takes to check your account falls outside these 24 hours.

Counter also has one feature of your choice (online reservations, appointments or ordering in advance), the upkeep of your Google Business Profile, pages for the places where you really work and a monthly overview of your visitors. Store has everything in Counter, plus a web shop of up to 50 products with online payment (iDEAL and credit card), and your website in a second language. You pay the fees the payment provider charges per payment yourself, directly to that provider.

First payment

The example is always free. There are no activation fees. When you order, you pay the first month (or the year or two years you pay in advance); only then do we start on your website. That first payment counts as your first month, from the day your website is finished and online. It is not refunded, not even if you then withdraw from the agreement. Only if, for a reason on our side, we do not put your website online within 30 days of your approval of the final version, do you get that first payment back. If you move up to a bigger package, you pay no extra costs; from that moment you pay the monthly price of the new package.

Buying in one go

You can also buy a website in one go, without a subscription. Shopfront then costs from €399, Counter from €899 and Store from €1,799. After the purchase, hosting and your domain name cost €12 per month; you can also take the website to another provider.

Paying in advance

If you pay 1 year in advance, you pay for 10 months and the term is 12 months. If you pay 2 years in advance, you pay for 20 months and the term is 24 months.

All amounts exclude VAT.

5. Changes

A change is one adjustment to one part of what is already on your website. For example:

  • changing your opening hours (all days together are one change);
  • changing the prices on one page;
  • changing one text or adding a short text;
  • replacing or adding one photo.

Not a change: a new page above the maximum of your package, a new feature (such as a web shop or online appointments) or a new design. For that we make a separate quote, see article 8.

Each month, 2 (Shopfront), 5 (Counter) or 10 (Store) changes are included. If you would like more changes than your package includes, each extra change costs €25 excl. VAT. You hear this in advance, and we only carry out an extra change once you agree. For bigger work you first get a quote, see article 8. Unused changes do not carry over to the next month. You can email us or send a WhatsApp message day and night (messages only, no calls). Our AI prepares a change; a person checks it before it goes online. These are the maximum times:

  • Urgent, such as a website that does not work, a mistake in your phone number or opening hours, or “closed today”: within 24 hours, at weekends too.
  • Ordinary changes within your package: within 2 working days.
  • Bigger changes and extra work on a website that is already online, such as a new page, a new feature or a web shop: within 14 days after you have agreed, or on the date in the quote if that is later.

6. Term and cancellation

  • The subscription runs for at least 12 months (or 24 months if you pay 2 years in advance), from the day your website goes online. That is the fixed term.
  • You can cancel at any time, with one month’s notice. The subscription never ends before the end of the fixed term. For example, if you cancel in month 11, it ends after month 12.
  • After the fixed term it continues month by month. You can then cancel every month, with one month’s notice.
  • You can cancel by email to info@primazaak.nl. You get a confirmation.
  • If you have paid in advance for any period after the subscription ends, we refund it.
  • After the end, we take the website offline. Your domain name stays yours. We help you transfer the domain name to another provider, or cancel it. On request you get your own texts, photos and logo as a zip file, see article 13.

If Prima Zaak stops

If Prima Zaak stops this service, we let you know at least 3 months in advance. You then get all the files of your website free of charge, so that you or another provider can keep using the website. Your domain name is already in your name; we transfer it free of charge to you or to your new provider. Anything you paid in advance for the time after the end, you get back.

7. Taking over your website

After the fixed term you can take over the website: after the first year, or after two years if you pay two years in advance. This costs a one-off amount of about €195 (Shopfront), €295 (Counter) or €495 (Store); the exact price is in a quote that you get on request.

With a takeover you get:

  • all the files of your website;
  • full control of your domain name (which is already in your name);
  • the rights to your content and design files, see article 13.

After that you can run the website yourself or have another provider run it. The subscription ends on the day of the takeover.

8. Extra work

An extra small change above the number in your package costs €25 excl. VAT, see article 5. For other work outside the subscription you always get a quote first. We only start once you agree. For example:

  • new pages or features on your website;
  • a mobile app or integrations with other systems;
  • flyers and business cards.

9. What we expect from you

  • You give us correct details, such as opening hours, prices and contact details. If something changes, you let us know.
  • If you give us texts, photos or logos, you must have the right to use them. If someone else makes a claim about them anyway, you are responsible for it.
  • You do not use the website for anything that is against the law.
  • Before your website goes online, you check it. By approving the final version, you confirm that details such as prices, opening hours and allergens are correct.

10. Payment

  • You get an invoice every month, or every year if you pay in advance. You pay in advance. The payment term is 14 days.
  • Payment methods: iDEAL, credit card or bank transfer.
  • If you do not pay on time, we first send a reminder, giving you at least 14 days to pay.
  • If you still do not pay after that, we may take the website offline for a while. After payment we put it back online.
  • Your domain name always stays yours, even if a payment is outstanding.
  • If you do not pay for a long time, we may end the agreement. What you still owe remains payable. The statutory commercial interest and collection costs may apply.
  • Except during the price promise below, we may adjust the price once a year, for example for inflation. We let you know at least 2 months in advance. If you do not agree, you may cancel as of the date of the change.
  • Price promise. You are a customer from the day you order: you say yes and pay the first invoice (article 3). If you become a customer before 1 July 2027, the monthly price of your package stays the same for two years, from the day your website goes online. If you switch to another package, the price that applies to that package at that moment applies.

11. Availability

We do our best to keep your website reachable at all times. We use reliable hosting for this. Still, we cannot promise that the website works 100% of the time, for example in case of outages at the hosting or during maintenance. In case of an outage, we fix it as quickly as is reasonably possible.

12. Liability

  • If something goes wrong through our fault, we are liable for the direct damage.
  • That liability is limited to the amount you paid us in the 12 months before the damage.
  • We are not liable for indirect damage, such as lost turnover or lost customers.
  • We are not liable for damage caused by incorrect details you gave us, or by outages at parties we have no influence over.
  • These limitations do not apply in case of intent or gross negligence on our side.
  • Report damage as soon as possible, and in any case within 30 days after you discovered it.

13. Rights to the website

  • Your own texts, photos and logo always stay yours. If you ask, we send them to you as a zip file (one file with everything in it), also after you have cancelled, up to one year after the end of your subscription.
  • As long as the subscription runs, you may use the website for your business. The design and technology of your website stay Prima Zaak’s, unless you take over the website (article 7) or buy it (article 4).
  • If Prima Zaak stops this service (article 6), you may keep using the files of your website that you get from us for your own website.
  • After a takeover (article 7) you get the full rights to your content and to the design files of your website. You may keep using, for your own website, the general components that we use for several customers.
  • We may show your website as an example of our work, unless you tell us you do not want that.

14. Privacy

How we handle personal data is set out in our privacy statement. For every website, we process data of your visitors on your behalf, such as IP addresses at the hosting, and sometimes other personal data, for example of your employees. That is why we conclude a data processing agreement for every website: a separate agreement on how we handle that data for you. You get it with the order confirmation. It also lists the services we use for this (sub-processors). We notify you of a new sub-processor in advance; you may object to it.

If your website processes data of your own customers, for example for online reservations, appointments or orders (Counter) or in a web shop (Store), you are responsible for that data and we process it on your behalf; that too falls under the data processing agreement. What you must tell your own customers on your website, such as a privacy statement and, for a web shop, also your delivery terms and the information about the right of withdrawal, we agree with you before that feature goes online. You remain responsible for your agreements with your own customers.

15. AI, partners and contact

Prima Zaak is an AI company. Our AI does the work: making your website, writing the texts and answering your messages. A person supervises and checks every website before it goes online. A person at Prima Zaak also checks your free example before you get the link.

If you ask for it, we can bring in a regular partner, for example for an extra check or to proofread texts. This is not a standard step: it only happens at your request. The partner works under our responsibility and under our confidentiality agreements. The partner gets no personal data, only the public information on your website. We remain liable for the work as if we did it ourselves.

Emails and WhatsApp messages are answered first by our AI assistant. For now, a person reads every reply before it is sent. The assistant always says that it is an AI, and answers in your own language: Dutch, English, German, French, Polish or Spanish. If you would like to speak to a person, that is always possible: say so, and a person takes over. A person answers in English. For customers in the Netherlands, these terms, the website and the invoices are in Dutch. Customers outside the Netherlands get these terms and the invoices in English. If the English and Dutch texts differ, the Dutch text prevails.

The AI assistant can explain things, but cannot make agreements on price or terms and cannot conclude an agreement. Agreements are only valid if a person at Prima Zaak makes them with you and confirms them in writing or by email.

16. Changes to these terms

We may change these terms. We let you know about changes at least one month in advance. If the changes are to your disadvantage, you may cancel as of the date they take effect. The latest version is always on this page.

17. Applicable law and disputes

Dutch law applies to our agreements. If you have a complaint, email it to info@primazaak.nl or send us a WhatsApp message; we will look for a solution together. If that does not work, the dispute goes to the competent court, the District Court of Limburg (rechtbank Limburg).
